VigLink Publisher Code of Conduct

  1. Use of Trademarks
    • Publishers are prohibited from using any merchant trademarks, service marks, branded terms, site content, URLs, etc., unless the rights-holder has provided prior written permission to do so.
    • Publishers are prohibited from using any merchant trademarks, service marks, branded terms, etc., in the keywords, ad copy, and display URL of paid search advertisements unless the rights-holder has provided prior written permission to do so.
    • Publishers are required to add merchant trademarks as negative keyword matches for their paid search campaigns unless written permission has been granted by the merchant for the use of trademarks, service marks, and/or protected brand and product names.
    • Publishers are prohibited from using merchant trademarks in all top-level domains unless granted written consent by the merchant. This includes variations and/or misspellings of merchant trademarks.
    • All use of VigLink and merchant trademarks must comply with the requirements laid forth in the Digital Millennium Copyright Act. 
  1. Non-Bona Fide Clicks & Transactions
    • Publishers will not facilitate transactions that are not in good faith, including, but not limited to: using invisible methods to generate impressions and/or clicks, and/or transactions that are not initiated by the affirmative and genuine action of an end user. Clicks or transactions generated through the use of improper or modified coding, iFrames, hidden frames, unprompted pop-ups or pop-unders, spiders, bots, programs, robots, spoofed pixels, or automated scripts are noncompliant and are subject to commission reversals. In order for a click to be valid and result in the accrual of commissions, a human consumer must take an affirmative end-user action by clicking on an affiliate link. Any method that artificially generates clicks, impressions, or transactions is strictly prohibited.
    • Publishers will not deliver any VigLink related cookies or other tracking tags to the computers of end users that are merely viewing the publishers’ website, promotional content, or advertisements. Publishers will not deliver any VigLink related cookies or other tracking tags to the computers of end users while the publishers’ applications are merely active or open.
    • Publishers will not interfere with, or seek to improperly influence, the referral of an end user to participating sites and content unless the end user knowingly and explicitly consents to that behavior by taking an affirmative action.
    • Publishers must properly label promotional content and labeling must not be misleading to end users. Publishers will not mislead or trick an end user in any way into clicking on a link. It must be clear to end users where they are being directed at all times.
    • Publishers will not be compensated for transactions where they, their partner, or their agent is the visitor, unless written approval from the merchant and VigLink was previously obtained.
    • Multiple leads, clicks, transactions, or installations from the same individual, entity, or IP address may be considered non-bona fide transactions at VigLink’s and/or the merchant’s discretion.
    • Any commissions generated through non-bona fide transactions are not eligible for payout and will be corrected at VigLink’s and/or the merchant’s discretion.
    • All publishers are required to maintain an up-to-date robot.txt file or bot click filter to prevent the registration of automated traffic as consumer clicks. VigLink reserves the right to contact publishers and have them include additional IP addresses or traffic sources to their filters as needed.
  1. Use of Downloadable Software
    • Publishers will not promote merchants and content using downloadable software without VigLink's and the merchant's advance written approval. Such promotional methods must comply with the additional terms in this section. VigLink reserves the right to immediately terminate any downloadable software promotion at any time, with or without notice or cause.
    • The use of downloadable software, mobile apps, toolbars, browser extensions, plug-ins, add-ons, and/or BHOs to distribute affiliate links must be proactively disclosed to VigLink and is prohibited without prior written approval from VigLink.
    • All approved software must abide by the following requirements:

      - Software publishers must provide full transparency to VigLink and all partnered merchants regarding the distribution and functionality of downloadable software.
      - Software publishers must receive opt-in acceptance by end users of an end user license agreement (EULA) that accurately depicts the behavior of the software prior to installation of the software on the consumer’s computer or device. The EULA must include an explicit description of the software’s functionality including, but not limited to, what browsing activity will trigger the placement of affiliate cookies on the consumer’s computer or device.
      - Software uninstallation must be easy to identify, and readily available from the add/remove functionality of consumers' browsers and/or operating systems.
      - Software must acknowledge publisher-driven traffic prior to dropping an affiliate cookie. Publishers will not attempt to intercept or redirect traffic from, or divert compensation from, any other VigLink affiliate. All software must recognize VigLink tracking and afsrc=1 parameters contained within affiliate links. When VigLink tracking or the afsrc=1 parameter is detected, software may not operate or redirect consumers to the merchant’s site using VigLink tracking.
      - Auto-redirection from paid search advertisements through the use of software is prohibited.
      - Auto-redirection from third party toolbars is prohibited. All software distributed from any location other than the publisher’s site, or a VigLink approved location, requires an affirmative click by the consumer before dropping an affiliate cookie.
      - Publishers’ operation of downloadable software must be through a direct relationship. Publishers will not distribute affiliate links or promotional content using downloadable software through any intermediaries.
      - All software publishers that utilize auto-redirection must abide by merchant requirements for affirmative click.
      - It is the responsibility of the publisher to notify VigLink of any changes or updates to software prior to implementation or distribution. Publishers will notify VigLink, in writing or by email, such that VigLink receives your notice at least 10 days before there is any material change to the operation of the downloadable software.
      - VigLink reserves the right to prohibit the distribution or bundling of affiliate software with any third party software, or through any third party sites or channels, at our sole discretion.
      - To the extent applicable, the downloadable software will have been "white listed" in accordance with the TRUSTe Trusted Download Program or otherwise complies with the TRUSTe Trusted Download Program, as applicable for the type of downloadable software, unless VigLink otherwise waives this requirement in advance in writing.
      - Publishers will provide a copy of their contract with the downloadable software provider and distributor, if any. VigLink reserves the right to ask for copies of all consumer correspondence with the downloadable software provider for the 60-day period prior to such request. Failure to provide such correspondence shall be a material breach of this agreement.
      - Any downloadable software that does not adhere to the VigLink software policies described above requires the special approval of VigLink before any affiliate links can be included in the software. Any unapproved use of software is subject to account deactivation, disablement of affiliation, and/or a reversal of associated commissions.
  1. Site Content
    • The promotion of affiliate links through any method other than the placement of links on a web site owned by the publisher must be disclosed to VigLink prior to the distribution of affiliate links.
    • Publishers are prohibited from utilizing any promotional method that contains objectionable content including, but not limited to, content that is misleading, un-approved, libelous, disparaging, defamatory, obscene, violent, bigoted, hate-oriented, sexually explicit, illegal, and/or that promotes illegal goods, services, or activities. VigLink reserves the right to determine whether publisher content qualifies as objectionable or noncompliant.
    • Publisher content must abide by any restrictions put forth by their affiliated merchants, including, but not limited to, the use of product pricing and imagery, incentives, coupons, vouchers, promotional codes, limited time offers, and editorial content.
    • Publishers may not utilize any technologies that alter, change, substitute, or modify the content of another web site.
    • Publishers are prohibited from placing links or promotional content for the purpose of engaging in misleading activities with respect to title and page description, search engine manipulation, meta-tag usage, or anything that VigLink at its sole discretion would consider noncompliant
    • All links and promotional content must comply with the following requirements:

      - Publishers are not allowed to serve a pop-up or pop-under for participating site and content in connection with other pop-ups or pop-unders.
      - The back button of the browser must be activated.
      - The website does not contain dialers or any software that downloads without express consent from the end user.

    • The placement of affiliate links on any third-party site must abide by the Terms of Service/Terms of Use of the third-party site and comply with all VigLink and merchant terms.
  1. Incentive Programs
    • Publishers will not directly or indirectly offer any reward or incentive for any transaction or click without VigLink's or the merchant's express written authorization. VigLink or the merchant must re-authorize any subsequent change to an authorized incentive program. 
    • Publishers who offer an incentive program must fully declare the nature of their promotional methods, including but not limited to:

      - The methods used to attract end users to join their program.
      - The methods used to promote merchants and content to end users.
      - Explanations of each method used to drive end users from the publisher’s promotional method to participating sites and content.
  1. Email Marketing
    • Publishers are prohibited from promoting merchants via email unless VigLink and their partnered merchants have given prior approval for this promotional method.
    • Publishers who have been approved for email promotions are prohibited from engaging in and/or facilitating the spamming and/or indiscriminate advertising of unsolicited commercial email. All publishers are required to comply with the CAN SPAM Act of 2003 (Public Law 108-187 or any successor legislation), and/or any other laws and/or regulations that govern email marketing and/or communications, including, but not limited, to the EU ePrivacy Directive.
    • Publishers who have been approved to promote via email are required to abide by the following email requirements:

      - All email communications must be created and sent by the publisher directly and can only be sent to recipients who have provided explicit consent to receive email promotions. Publishers are required to make copies of all such recipient consents available to VigLink within 10 business days of VigLink’s written request.
      - Emails must contain accurate sender information and subject lines. Publishers are required to include their own name, or company name, in the “from” line of the message. Using any merchant or network trademarks in the sender field is explicitly prohibited.
      - Emails must not be false or misleading.
      - Emails must include a functioning Internet based opt-out mechanism. This mechanism must remain active for at least 30 days after the publisher sends the e-mail.
      - Publishers must promptly remove all end-users who opt out of receiving emails, as required by law.
      - Emails must include the publisher's postal and website addresses. 
  1. Interference with Referral
    • Publishers are prohibited from hiding, cloaking, spoofing, or otherwise obscuring the URL of the site containing VigLink affiliate links, including through the use of a redirecting page, such that VigLink cannot determine the site, software, service, or application where the consumer click originated.
    • The user and/or browser agent of all applications where content is displayed or used cannot be interfered with and must be accurately passed to VigLink.
    • All affiliate links created by the publisher must comply with afsrc=1 requirements and refrain from affiliating any link where this parameter is present. You will not attempt to intercept or redirect traffic from, or divert compensation from, any other VigLink affiliate. 
  1. Referral Program
    • VigLink reserves the right to review all traffic from referred publisher accounts before issuing payment to the referrer account.
    • VigLink reserves the rights to extend or hold all commissions awarded to referrer accounts while we investigate the quality of traffic generated by referred publisher accounts.
    • Referral bonuses will not be awarded for any noncompliant traffic generated by referred publisher accounts.
    • Referral bonuses will not be awarded for any self-referred account, i.e. accounts referred by the same individual, entity, or IP address.
  1. Qualifying for Payout
    • VigLink reviews all payouts before issuing payment to ensure commissions were generated through compliant promotional methods.
    • VigLink reserves the rights to extend, hold, or reverse commissions generated through noncompliant promotional methods.
    • VigLink reserves the right to extend or hold payment while VigLink investigates publisher traffic or awaits responses to network quality promotional inquiries.
    • VigLink reserves the right to assess a fee of up to $50 USD for any returned and/or reissued payments.
    • VigLink reserves the right to extend, hold, or reverse commissions for any publisher account that has been registered using false, misleading, or incomplete information.
    • VigLink reserves the right to extend, hold, or reverse commissions for any publisher who has had an account previously removed from VigLink.
  1. Promotional Inquiries
    • Publishers are required to provide VigLink with accurate information about their account and promotional methods including, but not limited to, contact information, websites, 3rd party services, social media handles, software, and sources of traffic used to drive consumers to merchant links.
    • All publisher promotional methods must be disclosed to VigLink prior to implementation and all traffic must be passed to VigLink with transparency. In the event that either of these two requirements is not met, VigLink will issue a promotional inquiry to the publisher. Publishers will be given 5 business days to respond to the initial promotional inquiry.
    • Failure to reply within the allotted 5 business day compliance window could result in a payout hold being placed on the publisher account, the expiration of affiliation with any affected merchants, the disablement of the publisher’s ability to affiliate through VigLink, and/or a correction of commissions at VigLink’s and/or the merchant’s discretion.
  1. Merchant Terms
    • In the event that merchant terms contain requirements, policies, or expectations of publishers that are not covered in the VigLink Publisher Code of Conduct, publishers are expected to abide by these additional terms and requirements.
    • Failure to comply with merchant policy could result in the expiration of affiliation with that merchant, the reversal of commissions, a payout hold being placed on the publisher account, and/or deactivation from the VigLink network entirely.
    • Merchants may choose, at their sole discretion, to immediately disable their affiliation with any publisher account.
  1. Advertising Claims
    • Publishers will not exercise control over the decision of an end user as to whether to be transferred to the merchant sites and content or purchase products or services on offer through means going beyond the placement of promotional content (e.g. by making your own advertising claims).
  1. Termination of Agreement
    • VigLink may terminate publisher access to all or any part of the services at any time, with or without cause, upon at least five (5) business days prior written notice.
    • Any publisher found in violation of the policies laid forth in the VigLink Publisher Code of Conduct shall be considered in violation of the Terms of Service, and is subject to immediate removal from the network.
    • Any publisher removed from the VigLink network is ineligible to rejoin VigLink.  Any commissions generated through new publisher accounts, or alternate publisher accounts, shall be considered invalid, and will not be eligible for release.
    • Publishers are required to respond to any network quality warning of noncompliance within 24 hours. Failure to reply within the allotted 24 hour response window, could result in a payout hold being placed on the publisher account, the expiration of affiliation with affected merchants, the disablement of the publisher’s VigLink account, and/or the correction of pending commissions at VigLink’s sole discretion.
    • All communications between VigLink and its partners are confidential and are not intended for forwarding, posting, distributing, or otherwise sharing with any third party company, site, or entity. Any publisher found violating this confidentiality agreement is subject to immediate removal from the VigLink network and possible legal action.
